Subscription amounts will be deposited in an escrow account with the Escrow Agent, who will accept and verify all subscription receipts and will only release the funds to the Company when all conditions of this Offering are met.

Holders of the Ordinary Shares who have an equity interest in the Company.
Referendum Rights:
Holders of the Ordinary Shares have Referendum rights.
Registration:
Evidence of ownership will be evidenced by book entry. No certificates will be issued for the Ordinary Shares. SPO8 Security Tokens will be issued.
Security Token Delivery:
SPO8 are automatically delivered to the Ethereum wallet address used to contribute ETH during the token sale upon verification of your KYC/AML compliance and receipt of the appropriate amount of ETH. Issuance of SPO8s are done by the Issuing Agent and Registrar & Transfer Agent, Leno Corporate Services Limited.
Fluctuating ETH Value:
The contribution funds are in the form of ETH (Ether or Ethereum), which has a fluctuating value due to its tradability on the market. While the US Dollar price per token in this STO Offering will be set as close as possible to the initial US$5.00 per Share Token, fluctuations in the ETH value may result in some price discrepancies. Should there be a significant change in ETH value exceeding 10% in either direction, then the Company reserves the right to change the number of SPO8 Tokens delivered per ETH contribution. The number of SPO8 Tokens actually delivered shall be determined at the time of contribution prior to KYC/AML verification.
